M&A Compensation & Benefits Manager

Primary Job Responsibilities:

Under the direction of the Sr. Director, HR Mergers & Acquisitions, leads the compensation and benefits aspects of acquisitions and divestitures from pre-due diligence through integration.

Responsibilities include:
• Manage the review of target company’s compensation and benefit plans and programs during due diligence
• Identify risks and challenges related to target compensation, benefits, and equity
• Prepare side by side comparison of programs including cost comparisons in partnership with compensation and benefits departments
• Evaluate target’s capitalization table and severance/change in control agreements
• Work with the HR M&A lead, HR business partner, and compensation partner to recommend approach for integrating acquired employees into company’s compensation programs, including establishing job levels and setting new hire salaries, bonus eligibility and equity program participation
• Ensure that onboarding and welcome materials appropriately communicate compensation and benefits program transitions
• May coordinate operational aspects of onboarding acquired employees, including offer letter preparation and collecting and uploading employee data into the HR system
• Develop and continuously improve M&A Compensation and Benefits infrastructure and playbook
• Conduct analyses of acquired employee data and external data to provide insights for future acquisitions
• Work in a cross functional team, including HR M&A leads, Corporate Development, Legal, and HR Shared Services
• Flexible and able to toggle between multiple projects and priorities. Comfortable with quick changes of plan.
• Proven analytical skills to gather and analyze data and formulate practical solutions based on analysis
• Complete work quickly; able to produce results under tight timeframes
• Able to work with various stakeholders and partners. Comfortable with incorporating various points of view. Ensures that all positions are heard and incorporated into recommendations. Stakeholders include target company leaders, HR business partners, HR M&A project leads, Corporate Development deal and integration leaders, and acquiring business leaders.
